This privacy policy ("Policy") discloses the practices and policies adopted by Vigyanlabs Innovations Private Limited ("Vigyanlabs") for collecting, storing, retrieving or using Personal Information and Sensitive Personal Information (as defined in clause 2 of this Policy) it may receive from its Users. Vigyanlabs has instituted as a part of Intelligent Power Management (IPM) products suite from Vigyanlabs, which is aimed at maximizing power saving for personal computers, laptops and servers ("IPM+"). The information received from its Users will be in relation to accessing www.ipmplus.vigyanlabs.com ("Website") or for buying products from IPM+ on the Website. All terms and conditions regarding using of its website or buying of products through the Website are incorporated in this Policy by reference. The Policy seeks to comply with the Information Technology (Reasonable security practices and procedures and sensitive personal data or information) Rules, 2011 ("Rules").

This Policy is applicable to all Personal Information and Sensitive Personal Information that may be obtained from the Users for accessing the Website or buying products from IPM+ through the Website. Vigyanlabs reserves the right to modify or review the provisions in this Policy without prior notice. Therefore, the Users are requested to periodically visit the Website for notices relating to amendments to this Policy.

BY CLICKING ON "I ACCEPT" OR ACCESSING THE WEBSITE (AS APPLICABLE) THE USER HEREBY ACCEPTS THE TERMS OF THIS POLICY AND GRANTS CONSENT FOR PROVIDING PERSONAL INFORMATION AND SENSITIVE PERSONAL INFORMATION TO VIGYANLABS AND TRANSFER OF SUCH INFORMATION TO A THIRD PARTY IN RELATION TO ACCESSING THE WEBSITE OR BUYING OF PRODUCTS THROUGH THE WEBSITE.

1. DEFINITIONS "General Information" will have the same meaning ascribed to it in clause 3.1 of the Policy;

"Personal Information" means the information disclosed by a User, in connection with buying of products through the Website and includes name, age, email, occupation, residential address, telephone number, company name and any other personal details, which are capable of identifying the User;

"Rules" is defined in the preamble to this Policy;

"Sensitive Personal Information" excluding any information that is freely available or accessible in the public domain or is furnished under laws applicable in India, means the following information, which may be required for processing the request of buying of products through the Website: (a)    password of the User; (b)    physical, physiological or mental health condition of the User; (c)    sexual orientation; medical records and history of the User; (d)    Biometric of the User; and (e)    financial information such as bank account or credit/debit card details or other payment instruction details of the User.

"Terms of Use" means the terms and conditions mentioned on the Website; "User" means any person who has registered himself with Vigyanlabs to buy products through the Website;

"Visitor" means any person who visits or uses or accesses or browses the Website in any manner whatsoever and does not register on the Website for buying the products through the Website; and

"Website(s)"is defined in the preamble to the Policy.

2. COLLECTION OF PERSONAL INFORMATION 

2.1 A Visitor to the Website is required to reveal Personal Information while registering for buying products through the Website. During registration, the Visitor is required to create an account on the Website by providing a username and a password. Upon registration, the Visitor becomes a User of the Website. The account information and profile are password-protected so that only the user has access to this Personal Information. Vigyanlabs will never ask for a User's password through unsolicited phone calls or unsolicited emails. However, if any person, claiming to be an authorized representative of Vigyanlabs, contacts the User, the User must immediately contact Vigyanlabs as per the contact details provided in clause 10 of this Policy.

2.2 The Personal Information will be used by Vigyanlabs only to facilitate buying of products, send upgrade and update the information to the User in relation to the Vigyanlabs products and maintain a confidential database. In addition to registration, Personal Information may be asked for reporting a problem with the Website or products on the Website or Vigyanlabs. Vigyanlabs will ensure that the Personal Information provided by the User is treated securely, in accordance with the relevant Terms of Use, this Policy and the Rules. Users are advised to refrain from posting Personal Information anywhere on the Website.

2.3 If a User does not wish to provide Personal Information, the User must not proceed with registration on the Website. If at any point after the Personal Information has been provided to Vigyanlabs, the User has the option of amending or withdrawing the Personal Information. However, Vigyanlabs is not responsible for any incorrect or incomplete Personal Information given by a User or any consequences arising due to the disclosure of such incorrect or incomplete Personal Information. Further, the User will keep Vigyanlabs or its affiliates, shareholders, their respective officers and employees, and any service providers or contractors indemnified against any losses, actions or consequences arising due to furnishing of such incorrect or incomplete Personal Information or corrections made by such User.

2.4 Vigyanlabs may make amendments to this Privacy Policy at Vigyanlabs's sole discretion. However, Vigyanlabs will not be held liable for any consequence arising out of such amendments to the Privacy Policy.

3.    GENERAL INFORMATION    

3.1 While browsing through the Website, the Website's server may automatically record some general information about the Visitor's visit, such as the date and time of visiting the Websites, the IP address being used, the type of browser being used etc. ("General Information"). Such General Information collected is not Personal Information or Sensitive Personal Information and the Website's server does not link such General Information with the Personal Information or Sensitive Personal Information, if any, furnished by the Visitor.

3.2 Vigyanlabs reserves the right to use General Information collected by it for any purpose whatsoever including statistical analysis, marketing and promotional purposes. Consequently, Vigyanlabs may share such General Information or any analysis with any person, at its sole discretion.

4.    COLLECTION OF SENSITIVE PERSONAL INFORMATION 

4.1 A User may be required to disclose Sensitive Personal Information while buying the products provided by Vigyanlabs. Prior to furnishing such Sensitive Personal Information to Vigyanlabs, a User must click on "I ACCEPT" to grant consent to Vigyanlabs to access and use the Sensitive Personal Information of the User.

4.2 Vigyanlabs will collect Sensitive Personal Information for delivering the products bought on the Website, for maintaining an internal database and for internally analyzing the information. If the User does not wish to provide Sensitive Personal Information, the User may not be able to purchase products. If at any point after the Sensitive Personal Information has been provided to Vigyanlabs, the User wishes to withdraw the Sensitive Personal Information, the User may do so. However, in such cases, the User may not be entitled to purchase Vigyanlabs products through the Website.

4.3 If the User provides incomplete or incorrect Sensitive Personal Information, the User will be permitted to remedy such information and Vigyanlabs will not be held responsible for such incorrectness or incompleteness of the Sensitive Personal Information provided by the User or the consequences arising due to provision of incomplete or incorrect Sensitive Personal Information. The User will be permitted to change any Sensitive Personal Information disclosed earlier. Further, Vigyanlabs or its affiliates will be indemnified by the User against any losses, actions or consequences arising due to furnishing of incorrect or incomplete Sensitive Personal Information or corrections made by such User.

5. COOKIES 

When a user visits a Website, one or more cookies will be sent to the computer or the device being used by the User. The Cookies are either used to improve the quality of the Website or for storing User preferences, improving search results and tracking User trends. The User has the option of disabling cookies via their browser preferences. However, Users are advised and made aware that if they disable cookies on their browser, some parts of the Website may not function as effectively.

6.    INFORMATION SHARING AND DISCLOSURE OF PERSONAL INFORMATION AND SENSITIVE PERSONAL INFORMATION 

6.1 Only the persons authorized by Vigyanlabs will have access to Personal Information and Sensitive Personal Information disclosed to Vigyanlabs. By clicking on "I ACCEPT", the User grants consent to Vigyanlabs for sharing the information with persons or entities associated with Vigyanlabs or with a third party, provided the third party has undertaken to ensure the same level of data protection. The User may withdraw its consent at any time by sending a request in writing to Vigyanlabs. Vigyanlabs will share only information that is necessary for providing the products to the Users.

6.2 Notwithstanding anything contained in this Policy, Vigyanlabs reserves the right to disclose any Personal Information that may be required to be disclosed under laws applicable in India, without prior notice to or consent of the User.

6.3 Vigyanlabs cannot guarantee that third parties will keep the Personal Information or Sensitive Personal Information 100% confidential or secure and Vigyanlabs will not be liable in any manner for any loss of confidentiality attributable to such third parties.

7.    SECURITY 

7.1 Vigyanlabs has taken all reasonable measures and precautions to keep the Personal Information and Sensitive Personal Information safe and secure and to prevent any unauthorized access to or misuse of the same.

7.2 Vigyanlabs is not liable to any User for any loss, damage (whether direct, indirect, consequential or incidental) or harm caused to any User due to the unauthorized access or misuse of the Personal Information and/or Sensitive Personal information by any third party (beyond the control of Vigyanlabs). Vigyanlabs has a comprehensive and documented information security programme that contains managerial, technical, operational and physical security control measures. The security practices comply with the international standards on Information Technology-Security Techniques and best practices for data protection that have been duly approved and notified by the Central Government.

8.    NOTIFICATION OF CHANGES 

If any changes to this Policy are made, Vigyanlabs will post the updated Policy on its Website. An updated policy will become effective from the date of its publication on the Website and will form a part of the Terms of Use by reference. Any continued use of the Website for buying products will signify the acceptance of the User of such new or updated policy, as the case may be.

9.    LINKING TO OTHER SITES 

Vigyanlabs will not be responsible for the privacy practices or the content of any other websites for which links may be provided on the Website. By clicking on a link, logo or other such items, or using certain services available on the Website, the User may no longer be on the Website and in such circumstances, privacy policy of such other website will apply.

10.    GRIEVANCES 

10.1 Vigyanlabs has designated a grievance officer for addressing any discrepancies and grievances of the Users and has published such officer's name and contact details on the Website. The grievance officer will redress the grievances within one month from the date of receipt of grievance from the User.
